1. Introduction
Welcome to EvaCares! These Terms and Conditions ("Terms") govern your use of the EvaCares service ("Service"), provided by EvaCares Ltd ("we", "us", or "our").
These Terms apply to the person who creates an account and subscribes to our Service (the "Subscriber"). By signing up for our Service, you, the Subscriber, agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Service.
The provision of the Service to the elderly individual who receives the calls (the "User") is conditional upon our obtaining their direct consent, as detailed in Section 3.
2. The Service
EvaCares is a companionship and wellness monitoring service that uses an AI-powered voice agent ("Eva") to conduct regular check-in calls with Users. The Service is designed to provide peace of mind to Subscribers by monitoring the User's wellbeing and providing regular updates.
2.1. Key Features
- Regular automated check-in calls with Eva.
- Wellness monitoring (mood, pain, medication adherence, etc.).
- A dashboard for Subscribers with call summaries and trend analysis.
- The ability for Eva to detect potential emergencies and alert designated contacts.
2.2. IMPORTANT SERVICE DISCLAIMERS
The Service is a non-medical wellness tool. It does not provide medical advice, diagnosis, or treatment. The Service is not a substitute for professional medical care from a qualified healthcare professional. Always consult a doctor or pharmacist for any medical concerns.
While Eva can detect situations that may require assistance and can alert your designated contacts, the Service is not a substitute for traditional emergency services (999 or 111). We do not guarantee that alerts will be sent, received, or acted upon by your emergency contacts. In case of a medical emergency, you should always call 999.
3. Eligibility, Consent, and Subscription
3.1. User Eligibility
Our Service is designed exclusively for Users who are able to understand the service and provide their own informed consent. By signing up, you, the Subscriber, confirm that the intended User meets this requirement.
We do not offer the Service to individuals who lack the mental capacity to provide their own consent. You agree not to sign up any individual who does not meet this eligibility criterion.
3.2. Obtaining User Consent (A Mandatory Prerequisite)
Our service involves processing sensitive health data. Under UK law, we must obtain explicit consent directly from the User before the Service can begin. Our process is as follows:
- Direct Consent Call: After you sign up, we will perform a recorded onboarding call with the User to explain the service in simple terms and obtain their clear, explicit consent.
The Service for the User will not begin, and regular AI calls will not be made, until this direct consent is obtained and recorded. If the User does not provide consent, we will inform you and your subscription will be cancelled.
3.3. Free Trial
We may offer a free trial. The trial period and its conditions will be specified at the time of the offer. You must provide valid payment details to start the trial. If you do not cancel before the end of the trial, your chosen subscription plan will automatically begin, and your payment method will be charged.
3.4. Subscription and Billing
- Billing Cycle: We offer monthly and annual billing cycles. Your subscription will automatically renew at the end of each cycle unless cancelled.
- Payment: We use Stripe to securely process payments. You agree to provide and maintain valid payment information.
- Price Changes: We reserve the right to change our subscription prices. We will provide you with at least 30 days' notice before any price changes take effect.
3.5. Cancellation
You may cancel your subscription at any time through your account settings. Your cancellation will take effect at the end of the current billing cycle. Access to the Service will continue until the end of that period. No refunds are provided for partial subscription periods.
3.6. Cooling-Off Period
You have a statutory 14-day "cooling-off" period from the date of your initial purchase. During this time, you may cancel and receive a full refund, provided the Service has not been activated by the User providing consent.
4. Subscriber Responsibilities
4.1. Accurate Information
You agree to provide accurate and complete information when creating your account, including your contact details, the User's contact details, and the details of any emergency contacts.
4.2. Emergency Contacts
You are responsible for informing your designated emergency contacts that they are listed as such and confirming that they are willing to be contacted by EvaCares in a potential emergency.
4.3. Lawful Use
You agree to use the Service only for its intended purpose and in accordance with these Terms and all applicable laws.
5. Data Privacy and Security
Your privacy and the privacy of the User are critically important to us. Our Privacy Policy, which is an integral part of these Terms, explains in detail how we collect, use, and protect personal data. By agreeing to these Terms, you acknowledge our Privacy Policy and agree to its terms.
6. Service Availability
We strive to provide a reliable and available Service. However, we do not guarantee that the Service will be uninterrupted or error-free. We are not liable for any loss or damage caused by service interruptions, except as required by law.
7. Limitation of Liability
To the fullest extent permitted by law, EvaCares Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, resulting from your use of the Service. Our total liability in connection with the Service will not exceed the total amount of subscription fees paid by you in the 12 months preceding the event giving rise to the claim.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Service or for legal reasons. We will notify you of any significant changes by email or by posting the new Terms on our website.
